Terms of Service

1. The Agreement

When you engage Twisthand Intelligence Ltd ("we", "us", "I" - it's just Javan), you're entering a business partnership. These terms govern that relationship.

By hiring us, you confirm:

• You have authority to enter this agreement
• You're ready to transform, not just talk about it
• You understand this is expert consulting, not staff augmentation
• You've read and accept these terms (actually read them - they're important)

2. Services We Provide

We deliver compliant AI systems through four clear service tiers:

What's Included Across All Tiers:

• Direct access to me (Javan), not filtered through account managers
• Compliance-first AI solutions built for YOUR specific workflows
• Full documentation and training for your team
• Code and IP ownership transfers to you upon full payment

What's NOT Included:

• Third-party API costs (you pay directly to providers)
• Your internal infrastructure changes
• Travel expenses outside East Midlands (agreed separately)
• Work outside agreed scope (we'll quote first)

3. Your Obligations

Transformation is a partnership. I bring expertise, you bring:

Access & Information:

• Honest assessment of current workflows and pain points
• Access to relevant systems and data (securely)
• Key stakeholders available during on-site visits
• Timely feedback and decisions

Resources:

• Designated project champion with decision authority
• Technical team for implementation support (where relevant)
• Reasonable meeting/working space when on-site

Commitment:

• Genuine intent to implement, not just explore
• Openness to change workflows for better outcomes
• Protection of our mutual confidentiality

4. Payment Terms

Simple, transparent pricing. No hidden fees, no surprise invoices.

Payment Schedule:

• Compliant Build Sprint (£2,950): Payment upfront to commence work
• Compliance Audit & Executive Workshop (£5,000–£8,000): Payment upfront to commence work
• Compliant Implementation (£15,000–£40,000): 50% deposit to commence, 50% on completion. Exact price confirmed at scoping
• Ongoing Compliance Retainer (£2,500–£5,000/month): Beginning of each month. Month-to-month, no minimum term

Terms:

• All prices in GBP, excluding VAT
• Payment due within 14 days of invoice
• Bank transfer or business debit/credit card accepted
• Late payments: 4% above Bank of England base rate

Expenses:

Travel within East Midlands (Nottingham, Leicester, Derby, Lincoln, Northampton) included. Further afield? We'll agree costs upfront. No surprises.

5. Intellectual Property

Clear and simple: You own what we build for you.

What You Own:

• Custom Code: All bespoke solutions built for your workflows
• Configurations: API setups, automation flows, system configs
• Documentation: All guides, processes, and training materials
• Insights: Analysis, recommendations, competitive advantages discovered

What We Retain:

• Core Methods: The Twisthand methodology and frameworks
• General Knowledge: Skills and expertise we bring/develop
• Open Source: Rights to contribute generalizable improvements to open source projects
• Case Studies: Right to reference work (anonymized unless specifically agreed)

Third-Party Elements:

We use best-in-class tools (Claude, n8n, etc.). You'll need appropriate licenses for any third-party services. We'll guide you through this - no confusion.

6. Confidentiality

Your secrets are safe. Your competitive advantage is sacred.

We Protect:

• Your business processes and workflows
• Customer data and lists
• Financial information
• Strategic plans and innovations
• Any information marked confidential or reasonably understood to be confidential

Mutual NDA:

Both parties agree to maintain strict confidentiality for 5 years post-engagement. This survives termination of our agreement.

Permitted Disclosures:

• With your written consent
• If legally required (we'll notify you if possible)
• To defend against legal claims
• Information already public (not through breach)

7. Warranties & Disclaimers

Honest commitments, realistic expectations.

We Guarantee:

• Professional expertise and good faith effort
• Work performed to industry standards
• Solutions built with modern, maintainable approaches
• Respect for your data and confidentiality
• No knowing infringement of third-party rights

We DON'T Guarantee:

• Specific business outcomes (markets change, execution varies)
• Third-party service uptime (we don't control external APIs)
• Perfect solutions (iteration beats perfection)
• Results from partial or improper implementation

Your Warranties:

• Authority to enter this agreement
• Ownership/rights to data you provide
• Compliance with laws in your industry
• Accuracy of information provided

8. Limitation of Liability

Fair protection for both parties. No bankruptcy over consulting.

Liability Cap:

Maximum liability limited to fees paid for the relevant engagement. Compliant Build Sprint issue? Max liability £2,950. Compliant Implementation issue? Max liability is the amount paid for that build. Same principle applies across all four service tiers. Fair for both sides.

Excluded Damages:

Neither party liable for indirect, consequential, or speculative damages. We're building the future, not insuring against all possibilities.

Exceptions (No Caps Apply):

• Breach of confidentiality obligations
• Gross negligence or willful misconduct
• Infringement of intellectual property rights
• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation

Insurance:

We maintain professional indemnity insurance. Details available on request.

9. Termination

Either party can end the relationship with proper notice. No handcuffs.

Notice Periods:

• Compliant Build Sprint: No cancellation once work commences (guarantee applies instead)
• Compliance Audit & Executive Workshop: No cancellation once work commences (guarantee applies instead)
• Compliant Implementation: 7 days written notice before commencement, no cancellation once started
• Ongoing Compliance Retainer: 30 days notice. Month-to-month, no minimum term

Immediate Termination:

Either party can terminate immediately for:

• Material breach not remedied within 7 days of written notice
• Insolvency or bankruptcy proceedings
• Illegal activity or serious ethical violations

On Termination:

• We'll hand over all work completed to date
• You'll pay for work done up to termination date
• Confidentiality obligations continue indefinitely
• We'll assist reasonable transition (at standard rates if additional work required)

10. General Terms

Governing Law:

English law governs. Disputes resolved in English courts. But let's talk first - most issues resolve over coffee.

Entire Agreement:

These terms plus any signed statements of work constitute our entire agreement. No hidden terms, no verbal modifications that aren't documented.

Changes:

Any changes must be in writing (email counts) and agreed by both parties.

Independence:

We're independent contractors, not employees. You get expertise without employment overhead.

Force Majeure:

Neither party liable for acts of God, war, pandemic, or Robin Hood closing the A52. We'll work together to find solutions.

Assignment:

You can't transfer this agreement without permission. We're crafting for YOU, not your potential acquirer.

Disputes:

Disagreement? Let's talk first. If needed, mediation before litigation. Practical solutions beat legal battles.

Severability:

If any term is unenforceable, the rest remains valid. We'll work together to replace invalid terms with valid equivalents.
